NOTICE OF PROPOSED AMENDMENTS TO BYLAWS
In accordance with SCAC bylaws, 30-day notice of the following proposed amendments to the bylaws is hereby given:
PROPOSED CHANGES IN HEADINGS
The addition of a new section in the bylaws entitled ARTICLE III – ORGANIZATIONAL CONSIDERATIONS in Feb. 2004, resulted in an oversight which created two ARTICLE IV’s in the bylaws. Therefore, it is proposed that ARTICLE IV – MEMBERSHIP MEETINGS be changed to ARTICLE V – MEMBERSHIP MEETINGS. The following additional changes are proposed. All references to:

ARTICLE III changed to ARTICLE IV (except the current correct heading ARTICLE III – ORGANIZATIONAL CONSIDERATIONS)

ARTICLE V changed to ARTICLE VI

ARTICLE VII changed to ARTICLE VIII
ARTICLE VIII changed to ARTICLE IX

ARTICLE X changed to ARTICLE XI

ARTICLE IV - MEMBERSHIP
Current Bylaws:
Section 2. Membership shall be of three categories:
a. All persons who are recognized members of the SCAC member organizations are recognized as full members of the SCAC. Qualified organizations are those who’s President or Chairperson has submitted an official membership list and copy of Bylaws (or a statement of purpose in the event that organization has no Bylaws) to any Officer of SCAC and have been informed by the SCAC Board of Directors of their enrollment.
b. All persons desiring membership who do not belong to a member organization may become members by paying annual dues. The amount of the annual dues will be determined by the Board of Directors.
c. Any person, who gives of their time and ability in serving SCAC, or working on one project, is automatically a member with privileges and does not have to pay any dues.
Shall be amended to read:

B Level Members: Any person who gives of their time and ability on a limited or short term basis in serving SCAC. All others on the mailing list.

Article V – Board of Directors (ARTICLE VI if above revisions adopted)
Section 2. a. 1.
Current – Any elected Director may succeed them self for one additional three-year term if they decide to rerun and are so elected by the membership at the Annual Meeting.
Revision - Any elected or appointed Director may be elected to subsequent terms.
Section 5.
Current - If a Director misses three regular Board Meetings without excuse, this will constitute an automatic resignation. The Secretary will report this to a regular Board meeting, having an established quorum. The Directors, present and voting, will then confirm the fact. The Secretary will then notify the absentee Director of the Board’s action.
Revision - If a Director misses three regular Board Meetings per calendar year without excuse, this will constitute an automatic resignation. The Secretary will report this to a regular Board meeting, having an established quorum. The Directors, present and voting, will then confirm the fact. Any Director elected or appointed by the Membership may be removed by the Membership whenever in its judgment the best interest of the organization will be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed.
ARTICLE VII – COMMITTEES (ARTICLE VIII if above revisions adopted)

The Standing Committees shall be as follow: Finance; Membership; Planning; Event Coordination and Public Relations and any others that the Board may deem necessary for the operation of SCAC. Their duties will be prescribed by the Board and they shall meet at the discretion of their respective Chairs. The Chairpersons shall be Directors.
Shall be amended to read:

Current – Their chief executive officer shall prepare and submit an annual budget and operations calendar to the Board before November 1st unless another date is negotiated with the Board.
Revised - Their chief executive officer shall prepare and submit a budget, operations calendar and member/volunteer list annually to the Board.
Section 2.
Current – New groups can be included at any time, merely by satisfying the provision of ART. VIII., Sect. 1. Pars. v, 1-3 above.
